从公司捐赠看公司社会责任

公司的社会责任在法律上是一个弹性极大的概念,如何确定公司所应承担的社会责任的应有范围,一直是一个见仁见智的问题。公司社会责任,是指公司不能仅仅以最大限度地为股东们营利或赚钱作为自己的唯一存在目的,而应当最大限度地增进股东利益之外的其他所有社会利益。公司捐赠虽可归属于社会责任的范畴,但这种社会责任并不是法律责任,不具有法律强制力。公司是否为公益目的实施捐赠、捐赠的对象为何以及捐赠的数额多寡,都属于公司的内部事务,任何人无权干涉。判断公司的捐赠行为是正当抑或是越权,应以公司的章程规定或股东大会的决议作为标准。董事会所作出的捐赠决定若超越公司章程所规定的权限,给股东造成直接或者间接的损失,就应当引入股东代表诉讼制度和股东直接诉讼制度作为对股东的救济

The Nature of Property Rights in Trust and Its Position in Civil Code

信托财产权是信托法的核心概念之一,也是我国民事权利体系中的一名新成员,它无法也不应该以传统大陆法系民法中的任何概念来解释。就本质而言,信托财产权不是物权,不是债权,也不是法律关系的主体,同样也不是物权和债权的变形或组合,而是一种新型的、独立的民事权利,我国未来的民法典应当对其有所“反映”。由于信托法与民法典之间存在着许多难以调和的制度冲突,民法典并不必将信托法的全部内容都纳入到民法典之中。Property rights in trust is the core of law, and it is a new member in the system of right to civil affairs in our country. It can not and should not be explained in terms of any concept in traditional continental legal system. In essence, it is not right in rem, right to debt, or the subject in legal relationship. It is not the transformation or combination of right in rem and right to debt, but it is a new and independent right to civil affairs. In the future it will be “reflected" in the civil code of our country. 【中文摘要】信托财产权的绝对性和独立性要求信托财产权的变动必须实行公示原则,以维护交易安全;信托行为的复合性决定了信托公示方式的二重性,信托财产的复合性又决定了信托公示方法的复杂性,不同的信托财产,必须采取不同的公示方式;为了兼顾“动”的安全与“静”的安全双重法律价值目标的实现,信托公示的效力应采对抗要件主义。我国《信托法》第10条的规定与上述原理相背,应当加以修改。 【英文摘要】The absolute nature and the independent nature of the trust property right need that the change of the trust property right must be carried out by publication principle so as to safeguard the security of business.The compound nature of the trust action determines the dual nature of the trust publication mode and the compound nature of the trust property determines the complex nature of the trust publication means.For different trust property,the different publication mode must be adopted.In order to take account to the dual value goal of both motive security and still security , for the function of the trust publication the antagonist important condition doctrine should be adopted. Measurement of integrated luminosity of data collected at 3.773 GeV by BESIII from 2021 to 2024

We present a measurement of the integrated luminosity e+e- of collision data collected by the BESIII detector at the BEPCII collider at a center-of-mass energy of Ecm = 3.773 GeV. The integrated luminosities of the datasets taken from December 2021 to June 2022, from November 2022 to June 2023, and from October 2023 to February 2024 were determined to be 4.995±0.019 fb-1, 8.157±0.031 fb-1, and 4.191±0.016 fb-1, respectively, by analyzing large angle Bhabha scattering events. The uncertainties are dominated by systematic effects, and the statistical uncertainties are negligible. Our results provide essential input for future analyses and precision measurements

Determination of the number of ψ(3686) events taken at BESIII

The number of ψ(3686) events collected by the BESIII detector during the 2021 run period is determined to be (2259.3±11.1)×106 by counting inclusive ψ(3686) hadronic events. The uncertainty is systematic and the statistical uncertainty is negligible. Meanwhile, the numbers of ψ(3686) events collected during the 2009 and 2012 run periods are updated to be (107.7±0.6)×106 and (345.4±2.6)×106, respectively.
