    Fusões e aquisições no Brasil: Uma análise crítica do teatro de operações

    Fusões e aquisições estão entre as mais relevantes e dramáticas formas de transformação organizacional. Porém, muitos destes processos falham, resultando em traumas e destruição de valor. Isto faz crer que as razões que contribuem para o seu sucesso não são bem entendidas ou não são praticadas. Este artigo apresenta uma pesquisa exploratória realizada sobre 53 casos de fusões e aquisições que ocorreram no Brasil entre 1996 e 2000. O estudo sugere que a forma como o processo de fusão ou aquisição é conduzido – incluindo medidas como foco na comunicação, redução de demissões ao mínimo e desenvolvimento de atitude de respeito aos funcionários – contribui de forma efetiva para melhores resultados. Este artigo também apresenta uma proposta de tipologia para abordagens reducionistas e discute prováveis razões para sua adoção em processos de fusão ou aquisição.Mergers and acquisitions are among the most relevant and dramatic forms of organizational transformation. However, many of those processes fail, resulting in traumas and destruction of value. That leads to hypothesize that the reasons that contribute for the success are not well understood or not put in practice. This article presents an exploratory survey made among 53 merger and acquisition processes that took place in Brazil between 1996 and 2000. This study suggests that the way the merger or acquisition process is conducted – comprehending attitudes and initiatives such as focus on communication, keeping layoffs to its minimum, as well as developing an attitude of dignity and respect towards employees – contribute to better results. This article also presents the proposal for a typology of reductionistic approaches and discusses probable raisons for their adoption in merger or acquisition processes.Núcleo de Pesquisas e Publicações da FGV-EAES

    Inovação e sustentabilidade: novos modelos e proposições

    This theoretical paper has as main objective to analyze the relation between sustainability and innovation, taking as reference the institutional theory. Thus, the paper initially examines the issue of sustainable development, from a historical dimension of evolution of the topic. After that, we explored the theme of institutionalization of sustainable development, suggesting that the prominence of sustainable development can be explained by institutional theory, more specifically by the concept of symbolic efficiency of Meyer and Rowan (1991). The paper then analyzes the concept of sustainable innovative organizations. Finally, the relationship between sustainability and innovation is analyzed, highlighting the importance that the company innovates considering the three dimensions of sustainability - social, environmental and economic.Este trabalho, de cunho teórico, tem como principal objetivo analisar a relação entre sustentabilidade e inovação, tendo como referencial a teoria institucional. Para tanto, o artigo inicialmente analisa a questão do desenvolvimento sustentável, a partir de uma dimensão histórica da evolução do tema. A seguir, é explorada a temática da institucionalização do desenvolvimento sustentável, sugerindo-se que a proeminência do desenvolvimento sustentável pode ser explicado pela teoria institucional, mais especificamente pelo conceito de eficiência simbólica de Meyer e Rowan (1991). O artigo então discute o conceito de organizações inovadoras sustentáveis.     Rate-Induced Transitions in Networked Complex Adaptive Systems: Exploring Dynamics and Management Implications Across Ecological, Social, and Socioecological Systems

    Complex adaptive systems (CASs), from ecosystems to economies, are open systems and inherently dependent on external conditions. While a system can transition from one state to another based on the magnitude of change in external conditions, the rate of change -- irrespective of magnitude -- may also lead to system state changes due to a phenomenon known as a rate-induced transition (RIT). This study presents a novel framework that captures RITs in CASs through a local model and a network extension where each node contributes to the structural adaptability of others. Our findings reveal how RITs occur at a critical environmental change rate, with lower-degree nodes tipping first due to fewer connections and reduced adaptive capacity. High-degree nodes tip later as their adaptability sources (lower-degree nodes) collapse. This pattern persists across various network structures. Our study calls for an extended perspective when managing CASs, emphasizing the need to focus not only on thresholds of external conditions but also the rate at which those conditions change, particularly in the context of the collapse of surrounding systems that contribute to the focal system's resilience. Our analytical method opens a path to designing management policies that mitigate RIT impacts and enhance resilience in ecological, social, and socioecological systems. These policies could include controlling environmental change rates, fostering system adaptability, implementing adaptive management strategies, and building capacity and knowledge exchange.     Cognitive performance and psychosocial functioning in patients with bipolar disorder, unaffected siblings, and healthy controls

    Objective:: To assess cognitive performance and psychosocial functioning in patients with bipolar disorder (BD), in unaffected siblings, and in healthy controls. Methods:: Subjects were patients with BD (n=36), unaffected siblings (n=35), and healthy controls (n=44). Psychosocial functioning was accessed using the Functioning Assessment Short Test (FAST). A sub-group of patients with BD (n=21), unaffected siblings (n=14), and healthy controls (n=22) also underwent a battery of neuropsychological tests: California Verbal Learning Test (CVLT), Stroop Color and Word Test, and Wisconsin Card Sorting Test (WCST). Clinical and sociodemographic characteristics were analyzed using one-way analysis of variance or the chi-square test; multivariate analysis of covariance was used to examine differences in neuropsychological variables. Results:: Patients with BD showed higher FAST total scores (23.90±11.35) than healthy controls (5.86±5.47; p < 0.001) and siblings (12.60±11.83; p 0.001). Siblings and healthy controls also showed statistically significant differences in FAST total scores (p = 0.008). Patients performed worse than healthy controls on all CVLT sub-tests (p < 0.030) and in the number of correctly completed categories on WCST (p = 0.030). Siblings did not differ from healthy controls in cognitive tests. Conclusion:: Unaffected siblings of patients with BD may show poorer functional performance compared to healthy controls. FAST scores may contribute to the development of markers of vulnerability and endophenotypic traits in at-risk populations
