Ledelse af kreative kulturorganisationer: Rammebetingelser og udviklingsmuligheder for danske teaterorganisationer
The paper describes and analyzes the new structures for theatre production and argues for the need of changed management principles (Culture Governance) and organizational structures for creation of future theatre production in Denmark
Velfærdsudvikling gennem samspil mellem kultur- og erhvervsliv i Danmark?
Artiklen analyserer rammerne for samspil mellem teaterorganisationer (landsdelsteatre) og erhvervsliv med henblik på at afdække, hvorvidt de lovgivningsmæssige rammer, resultatkontrakter og officielle ledeleskodekser samt tilskyndelser og støttemidler fra statens side fremmer samarbejdet. Der udpeges en række dilemmaer af betydning for teatrenes muligheder for at spille en rolle i regeringens kultur- og velfærdspolitik. Det viser sig, at der er en modstrid mellem de gode intentioner, den »hårde« New Public Management orienterede koncernstyring og de »bløde« tilskyndelser til god ledelse, når teatrenes bestyrelser ikke har tilstrækkelig autonomi til at træffe strategiske beslutninger. Hvis intentionen er, at teatre skal kunne spille sammen med erhvervslivet og bidrage til en styket konkurrenceevne, er derette rammer ikke til stede
Tanggung Jawab Pribadi Organ Perseroan Terhadap Wanprestasi Kaitannya dengan Piercing the Corporate Veil (Tinjauan Yuridis Putusan Pengadilan Negeri Mataram Nomor 47/Pdt.G/2021/PN Mtr)
Persoalan mendasar berkenaan dengan penelitian ini adalah bagaimana doktrin Piercing the Corporate Veil dalam pertanggung jawaban Organ Perseroan Terbatas, dapat diterapkan, dan atas hal-hal apa saja Direksi Perseroan Terbatas dapat dikenakan pertanggung jawaban Piercing the Corporate Veil tersebut. Penelitian ini menggunakan metode penelitian hukum yuridis normatif, terutama dengan melakukan analisis pada Putusan Pengadilan Negeri Mataram Nomor 47/Pdt.G/2021/PN Mtr. terhadap doktrin Piercing the Corporate Veil dalam pertanggung jawaban Organ Perseroan Terbatas berdasarkan Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas. Penelitian ini menggunakan data sekunder yang terdiri dari bahan hukum primer, bahan hukum sekunder dan bahan hukum tersier. Penelitian ini menggunakan metode analisis data secara deskriptif analisis dengan pendekatan kualitatif. Hasil dari penelitian ini menunjukan bahwa doktrin Piercing the Corporate Veil dapat diterapkan kepada Organ Perseroan Terbatas apabila terbukti dilakukannya tindakan-tindakan yang secara langsung merugikan perseroan, yaitu 1) baik secara langsung maupun tidak langsung dengan itikad buruk memanfaatkan perseroan untuk kepentingan pribadi; 2) terlibat dalam perbuatan melawan hukum yang dilakukan oleh perseroan; dan 3) baik secara langsung maupun tidak langsung secara melawan hukum menggunakan kekayaan perseroan yang mengakibatkan kekayaan perseroan menjadi tidak cukup untuk melunasi utang perseroan. Selain itu, dalam hubungan kontraktual Piercing the Corporate Veil juga layak diterapkan apabila ditemukan salah satu fakta-fakta, yaitu pihak ketiga diperdaya untuk bertransaksi dengan Perseroan, tindakan bisnis perusahaan membingunngkan, dan adanya jaminan pribadi dari pemegang saham.

Bridge or buffer: Two ideas of effective corporate governance and public engagement
© 2016 John Wiley & Sons, Ltd. This study identifies organizational factors that influence corporatate governance and formulation of public relations strategies for public enagement. This study explores intertwined relationships between public relations strategies and organizational factors. A total of 22 qualitative interviews were conducted with a diverse pool of communication consultants. Results show that the two public relations strategies, bridging and buffering, are frequently observed and linked with key factors such as size, organizational culture, environment specificity, and strategic orientation. Implications for future public relations and corporate governance research are discussed
